Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by SaveWell, Inc. ("we," "us," or "Company"), including our website, mobile/web applications, and other digital products linking to these Terms (collectively, the "Services"). By accessing or using the Services, you agree to these Terms, which form a binding legal agreement between you and the Company. These Terms include a mandatory arbitration provision (Section 10) requiring individual arbitration for disputes, waiving jury trials and class actions.

We may update these Terms periodically. Material changes will be communicated via email or website notice before taking effect. Continued use of the Services after changes constitutes acceptance.

1. Access and Use

We grant you a limited, revocable license to access and use the Services, subject to these Terms. You must provide accurate, current, and complete information and maintain necessary equipment and third-party services (e.g., internet access) at your expense. We may suspend or terminate your access at our discretion without notice or liability.

2. Account Registration and Security

Certain Services require an account. You must:

• Provide accurate registration information and keep it updated.
• Maintain the confidentiality of your account credentials.
• Notify us immediately at support@savewellnow.com of any unauthorized account use.
• Not share your account or impersonate others.

We may disable or close accounts at our discretion. You must be at least 13 years old to use the Services.

3. Prohibited Uses

You agree to use the Services lawfully and in accordance with these Terms. You will not:

• Use the Services for unauthorized commercial purposes.
• Violate any applicable laws or regulations.
• Infringe intellectual property, privacy, or other legal rights.
• Transmit deceptive, harmful, or illegal content.
• Reverse engineer, modify, or exploit the Services.
• Use automated tools (e.g., bots, spiders) to access or collect data.
• Introduce viruses or interfere with Service security or functionality.

Violations may require 30 days' prior written notice to support@savewellnow.com, allowing us to address concerns.

4. Intellectual Property and Content

a. Company IP

We own all rights to the Services, trademarks, logos, and content we create ("Company Content"). No rights are granted except as expressly stated.

b. Your Content

You are responsible for content you submit ("Your Content"), including its accuracy and legality. You represent that you have necessary rights to Your Content and that it complies with these Terms. We may update inaccurate contact information but disclaim liability for communication issues due to inaccurate data. You indemnify us against losses from such issues.

c. Electronic Communications

You consent to electronic communications (e.g., email, SMS) from us, satisfying legal writing requirements. You may opt out of SMS communications by texting STOP, but this may affect Service functionality. Standard message and data rates may apply.

5. Third-Party Links

The Services may link to third-party websites. We are not responsible for their content or any resulting loss or damage. Use them at your own risk.

6. Service Availability

We do not guarantee uninterrupted Service availability. Services may be modified, suspended, or discontinued without notice or liability. Device compatibility is your responsibility.

7. Data Privacy

We comply with applicable data protection laws (e.g., GDPR, CCPA). Our Privacy Policy, incorporated herein, details how we collect, use, and protect your data. You consent to data processing as described therein.

8. Disclaimer of Warranties

The Services are provided "as is" without warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We disclaim liability for actions taken during investigations or by law enforcement. California residents waive California Civil Code Section 1542, and New Jersey residents waive relevant provisions of the Truth in Consumer Contract, Warranty, and Notice Act.

9. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages. Our aggregate liability is limited to fees paid by you in the prior six months or $100 if no fees apply.

10. Indemnification

You will indemnify and hold us harmless from claims, damages, or expenses (including attorneys’ fees) arising from your violation of these Terms, use of the Services, Your Content, third-party rights violations, or negligence.

11. Governing Law and Arbitration

a. Governing Law

These Terms are governed by California law, excluding conflict of laws principles. You submit to the jurisdiction of Orange County courts.

b. Arbitration

Disputes must be resolved through informal negotiation first (contact support@savewellnow.com). Unresolved disputes after 60 days will be settled by binding arbitration via JAMS in Orange County under its Optional Expedited Arbitration Procedures. Each party pays its own fees for commercial use; for non-commercial use, you may recover reasonable costs if awarded. Small claims court is an option without arbitration. We may seek injunctive relief for IP or security violations.

c. Class Action Waiver

Claims must be brought individually, not as part of class, collective, or representative actions. You waive jury trial and class action rights.

12. Termination

We may terminate your access for any reason, including non-compliance with these Terms, with or without notice. Upon termination, your account and rights to access the Services cease. Sections 4, 7-11, and 13 survive termination.

13. General Terms

These Terms are the entire agreement regarding the Services, superseding prior agreements. No waiver by us constitutes a continuing waiver. Invalid provisions will be modified or eliminated to maintain the Terms’ intent. You may not assign these Terms without our consent; we may assign them freely. Feedback sent to support@savewellnow.com is assigned to us without confidentiality obligations.
